These Terms apply to all users, including SaaS businesses, individual users, and partners.


1. Acceptance of Terms

By using Overlays.ai, you confirm that:

  • You are at least 18 years old or of legal age in your jurisdiction.
  • You have the authority to bind your organization if using Overlays.ai on behalf of a business.


2. Services Provided

Overlays.ai offers embeddable editors for SaaS platforms and design tools for individual users. We may modify, enhance, or discontinue services at any time without prior notice.


3. User Responsibilities


a. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for any activities that occur under your account. Notify us immediately if you suspect unauthorized access.

b. Prohibited Activities

You agree not to:

  • Use our services for illegal, harmful, or abusive purposes.
  • Reverse-engineer, decompile, or otherwise attempt to access the source code of our products.
  • Upload harmful or malicious content to Overlays.ai.


4. Payments and Pricing


a. Subscription and Licensing Fees

Fees for services, including one-time licenses and subscription plans, must be paid in full as outlined during the purchase process.

b. Refunds

Refunds for eligible purchases will be processed in accordance with our Refund Policy, if applicable.

c. Price Changes

We reserve the right to change pricing at any time. Existing subscribers will be notified of changes in advance.


5. Intellectual Property

All content, trademarks, and materials on Overlays.ai are the exclusive property of Overlays.ai. You may not reproduce, distribute, or use our intellectual property without prior written consent.


6. Third-Party Integrations

Our services may integrate with third-party platforms (e.g., ESPs, CRMs, ERPs). We are not responsible for the performance or policies of third-party services.


7. Compliance and Certifications

We adhere to applicable legal and industry standards. Compliance documentation (e.g., GDPR, SOC2, or CCPA certifications) can be provided upon request.


8. Limitation of Liability

To the fullest extent permitted by law:

  • Overlays.ai is not liable for indirect, incidental, or consequential damages resulting from the use of our services.
  • Our total liability for any claim will not exceed the amount you paid for the services in the preceding 12 months.


9. Termination


a. By You

You may terminate your use of Overlays.ai at any time by canceling your account.

b. By Us

We reserve the right to suspend or terminate your account if you violate these Terms or misuse our services.


10. Governing Law

These Terms are governed by the laws of the United Arab Emirates (UAE). Any disputes arising from these Terms will be resolved exclusively in the courts of Dubai, UAE.


11. Changes to These Terms

We may update these Terms periodically. Any changes will be posted on this page with the updated effective date. Continued use of our services constitutes your acceptance of the updated Terms.
